This agreement between you (“User”) and Speakeasy Bookings Inc. (“Speakeasy,” “we,” “our,” or “us”) governs your use of Speakeasy’s website, applications, and services (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

Eligibility: You must be at least 18 years old to create an account or use the Services. The Services are not intended for individuals under 16, and Speakeasy does not knowingly collect information from individuals under 16. Certain venues require you to be 21 or older to attend; venue rules control admission and override these Terms.

Accounts and Security: To use certain Services, you must register an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. You agree to provide accurate, complete information and keep it updated. Notify us immediately at contact@speakeasygo.com if you suspect unauthorized use. Speakeasy is not liable for losses arising from unauthorized access due to your failure to safeguard your account.

Payments and Fees: You agree to pay all charges incurred through your account, including ticket purchases, covers, deposits, taxes, and service fees. By making a purchase, you authorize Speakeasy or its payment processors to charge your payment method. You are responsible for maintaining a valid payment method. Failure to pay may result in suspension or termination of your account.

Ticketing, Refunds, and Cancellations: All sales are final unless: (i) an event is cancelled or materially changed, (ii) a refund is required by law, or (iii) the venue or organizer authorizes a refund or credit. Ticket prices may change at any time. Price adjustments, discounts, or promotions after purchase do not entitle you to refunds. Expired or unredeemed tickets are not refundable. Refunds, when issued, are processed according to the venue’s or organizer’s policies. Speakeasy is not responsible for refund decisions beyond processing as directed by the venue or organizer.

Venue or Event Admission: A Speakeasy ticket or cover does not guarantee entry. Admission is subject to the venue or organizer’s policies, including ID checks, dress codes, capacity, and safety requirements. Speakeasy does not own, operate, or control venues or events and is not responsible for admission decisions, event safety, quality, or attendee experience. If you are denied entry, your sole remedy is as provided by the venue or organizer, and Speakeasy has no liability.

Intellectual Property: All content on the Services, including trademarks, logos, text, graphics, software, and designs, is owned by or licensed to Speakeasy. You may not copy, sell, rent, or exploit any part of the Services without written permission. Use of the Services is limited to personal, non-commercial purposes.

SMS and Communications: If you opt in to receive SMS or MMS messages, you consent to receive communications including, but not limited to: (i) transactional messages (such as confirmations, tickets, reservations, receipts, entry reminders, and service notices), and (ii) marketing messages (such as upcoming events, promotions, or special offers). Some communications may be sent directly by venues, promoters, or event organizers (“Clients”) using Speakeasy’s platform. Speakeasy enforces opt-out compliance across its platform and does not permit Clients to send communications to recipients who have opted out. Clients are solely responsible for obtaining valid consent before sending messages, honoring opt-outs, and complying with all applicable laws (including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and state “mini-TCPA” laws). While Speakeasy provides safeguards to block delivery to opted-out numbers, Speakeasy does not create or control Client message content or recipient lists and disclaims liability for Client compliance. Speakeasy is not the “sender,” “caller,” or “initiator” of Client communications for purposes of applicable law. Message and data rates may apply. Message frequency may vary. You may opt out of Speakeasy-sent messages at any time by replying STOP or contacting contact@speakeasygo.com. To stop receiving Client-sent marketing messages, follow the opt-out instructions in that message or contact the venue or organizer directly.

Prohibited Uses: You may not use the Services to: (i) engage in fraud, impersonation, or unlawful activity; (ii) interfere with, disrupt, or attempt to gain unauthorized access to the Services or other users’ accounts; (iii) upload or transmit viruses, malicious code, or unauthorized content; (iv) scrape, harvest, or mine data from the Services without authorization; or (v) otherwise violate applicable law or these Terms. Speakeasy may suspend or terminate accounts suspected of violating these rules.

Service Changes and Termination: We may modify, suspend, or discontinue the Services at any time without liability. We may suspend or terminate your account if you violate these Terms, applicable law, or pose risk to the platform. Where feasible, we will provide notice before suspension or termination, except in urgent cases such as fraud or security risks.

Disclaimer of Warranties: The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, Speakeasy disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the fullest extent permitted by law, Speakeasy and its affiliates are not liable for indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Services. In no event shall Speakeasy’s total liability exceed the greater of (i) the amount you paid through the Services in the past twelve months or (ii) one hundred U.S. dollars ($100). Nothing in these Terms excludes liability that cannot be limited under applicable law. Speakeasy is not responsible for the acts or omissions of venues, organizers, or other users.

Indemnification: You agree to defend, indemnify, and hold harmless Speakeasy and its affiliates from claims, losses, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your misuse of the Services.

Privacy Policy: By using the Services, you also agree to Speakeasy’s Privacy Policy, which explains how we collect, use, and protect your information.

Governing Law and Dispute Resolution: These Terms are governed by the laws of New York, USA, without regard to conflict-of-law principles, unless your state of residence requires otherwise. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that you may bring claims in small claims court if eligible. To the maximum extent permitted by law, you waive the right to participate in class actions or representative proceedings against Speakeasy.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Speakeasy regarding your use of the Services.
